Internap Files Secondary Offering

Announces an offering of 45 million shares, led by SG Cowen

ATLANTA -- Internap(R) Network Services Corporation (NASDAQ: INAP), a provider of high performance, managed Internet connectivity services, announced today that it had filed a registration statement with the Securities and Exchange Commission for the proposed public offering of 45,653,536 shares of its common stock. Of the 45,653,536 shares to be offered, Internap will sell 35,000,000 newly issued shares and selling stockholders will sell an aggregate of 10,653,536 shares. In addition, Internap will grant the underwriters an option to purchase up to an additional 6,848,030 shares of common stock to cover over-allotments, if any. The offering will be made through an underwriting syndicate led by SG Cowen as sole book-runner. CIBC World Markets will act as co-lead manager, and Thomas Weisel Partners LLC, Jefferies & Company, Inc. and Needham & Company, Inc will act as co-managers. A registration statement relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective.
