Path 1 Replaces CEO

SAN DIEGO -- Path 1 Network Technologies Inc. (Amex: PNO - News), announced today that the company's Board of Directors has accepted the resignations of CEO/CFO John Zavoli and Vice President David Carnevale, effective Friday, September 23, 2005. The Company has appointed Directors Frederick Cary and Robert Packer to serve as Co-Principal Executive Officers on an interim basis while negotiations take place with certain qualified candidates for the open CEO position.

"The Board thanks John and David for the hard work and dedication that they have shown during their time at Path 1," stated Mr. Packer. "Through their efforts, the Company has made headway in positioning itself as best-of- breed in the IP video world, increasing its margins, and improving the reliability of our product line. However, we believe that there are much greater opportunities for the organization ahead as customer acceptance and reliance on IP video begin to explode -- in that regard, it is the Board's belief that we should seek to bring in a seasoned leader to direct the Company and bring us to the next level of growth."
