LONDON -- Spirent Communications plc ('Spirent') (LSE:SPT;NYSE: SPM), a leading communications technology company, today announcesthat it has acquired the business of Imperfect Networks, Inc. ('ImperfectNetworks'), a US based developer of security testing solutions. Theacquisition will enable Spirent to deliver enhanced security testingsolutions to its customers across a number of markets.
Spirent is paying an initial consideration of $4.0 million ( £2.2 million),payable in cash on completion, with up to a further $4.0 million (£2.2million) payable depending on the satisfaction of certain technicalmilestones and revenues to be achieved in 2007. Imperfect Networks is basedin Massachusetts and has 11 employees.
Spirent has been the exclusive re-seller of Imperfect Networks' ThreatExproduct since 2005 with revenues growing strongly in the first half of thisyear. When combined with Spirent's market-leading AvalancheTM product, itprovides global network equipment manufacturers, service providers andenterprises with a powerful tool for verifying defenses against maliciousattacks and helps reduce the risk of costly network downtime due to networkthreats such as worms, viruses and attacks on voice over IP and wireless LANservices. The ThreatEx business and technology will be integrated intoSpirent's Performance Analysis division.
