Optun, Infineon Merge WDM Efforts

Infineon to spin off its fiber optic passive WDM unit R&D in the WDM optical component arena, and merge these activities with Optun

MENLO PARK, Calif. -- OpTun Inc., a privately owned emerging Optical start up and Infineon Technologies AG (FSE/NYSE: IFX), a leading provider of integrated circuits for advanced communications systems, today announced that they have signed a definitive agreement whereby Infineon will spin off its fiber optic Passive WDM unit R&D in the Wavelength Division Multiplexing (WDM) optical component arena, and merge these activities with Optun. The combined company, retaining the name Optun, is targeted at providing Smart WDM solutions and modules to the optical networking systems market. OpTun’s products utilize Planar Lightwave Circuit (PLC) technology, leveraging the numerous advantages of silicon based manufacturing and bringing the benefits of high integration-based functionality to WDM products.Under the terms of the agreement, Infineon will transfer related intellectual property and patents to the new company, and be a shareholder. Infineon, with its world-wide sales distribution network, will act as a global distributor for OpTun’s products.In conjunction with the spin-off/merger transaction, OpTun is raising a second round of financing, in which Infineon AG, Landeskreditbank Baden-Wuerttemberg, Seed Ventures GmbH together with existing investors Benchmark Capital and Delta Ventures are participating. The first closing will take place this week, and negotiations are taking place with additional investors to join the round.
