Logica Plc and CMG Plc complete merger, commence trading as LogicaCMG

LONDON -- LogicaCMG plc is pleased to announce that the Scheme of Arrangement required to effect the merger between Logica plc and CMG plc became effective today, the Merger has completed and Logica plc has been re-named LogicaCMG plc. Cor Stutterheim, Non-Executive Chairman of LogicaCMG said: "We are very pleased that the merger has completed on our original schedule so that we can begin the new trading year of 2003 as a single group. A lot of planning and hard work has gone on in the run up to Christmas so that we can integrate our businesses rapidly and successfully and thereby seize the opportunities that the merger offers the enlarged group, our customers and our staff." Martin Read, Group Chief Executive of LogicaCMG said: "I am delighted that the merger has completed as planned, establishing LogicaCMG as a major international force in IT services and wireless telecoms with a leading position in Europe. The shared ambitions of both organisations have driven the creation of LogicaCMG and I look forward to working with all of our staff and customers to make the new company a success." In accordance with the Scheme of Arrangement, CMG Shareholders on the register as at 6:00 p.m. on 27 December 2002 will receive 0.4827 LogicaCMG Shares for each CMG Share then held. Dealings in LogicaCMG Shares are expected to commence on the London Stock Exchange under the name of LogicaCMG plc and the symbol "LOG" at 8:00 a.m. today. Dealings in LogicaCMG Shares are also expected to commence on the Euronext Amsterdam exchange under the symbol "LOG" at 9:00 a.m. CET today.
