Announces completion of sale of actives business to Scientific-Atlanta and further force reductions

DULUTH, Ga. -- ARRIS (Nasdaq: ARRS) todayannounced that it had completed the previously announced sale of the Activesportion of its Transmission, Optical & Outside Plant business to Scientific-Atlanta (NYSE: SFA). On November 13, 2002, the Company announced that it hadreached a definitive agreement with Scientific-Atlanta for the sale of thisbusiness and expected the transaction to close during the month of November.This announcement confirms that the transaction is now complete. The Company in addition has taken action in the form of a reduction inforce affecting over 300 employees. These actions are driven in part by theActives sale and the need for further cost reductions and include the closureof the Company's Andover, Massachusetts facility and other force reductionsthroughout the organization. "As we indicated in our third quarter earnings conference call, we wereanalyzing various ways to improve our cost structure in order to match expenselevels to lower revenue levels while at the same time continuing to improveour balance sheet," said Larry Margolis, ARRIS EVP & CFO.
