EDB Telesciences strengthens its international profile with the acquisition of Incatel AS for NOK 85.7M (US$11.75M)

OSLO -- EDB Telesciences has acquired the Norwegian based software company Incatel AS. Incatel's competence and product line within network and service inventory for end-to-end provisioning of telecom services complements EDB Telesciences own products and services and represents a valuable addition to the company's existing product portfolio. The acquisition gives EDB Telesciences access to Incatel's international customer base and is part of the company's international growth strategy. Incatel was founded in 1994 and has today 50 employees. In 2002 the company reported revenues of 76 MNOK, predominantly from international activities. Telenor Venture owns 77.6% of Incatel AS. The purchase price of 85.7 MNOK will result in goodwill of 62 MNOK. Of the purchase price of 85.7 MNOK, 74.7 MNOK will be settled in cash and 11 MNOK by transferring ownership of shares in Dimension4, a company currently owned by Incatel AS.The introduction of convergent networks and advanced telecom services places great demands to how operators collect, administrate and process traffic data and other information from the networks. Working together with advanced operators, EDB Telesciences is a leading player in the mediation market segment. The acquisition of Incatel is part of the company's goal to become a leading player within mediation and revenue assurance.
