Comptel acquires EDB Telecom’s network inventory and European mediation businesses

HELSINKI -- Comptel Corporation (CTL1V), a leading convergent mediation andprovisioning software vendor enters the growing Network Inventorymarket by acquiring EDB Telecom’s Network Inventory and EuropeanMediation businesses. EDB Telecom is a subsidiary of Norwegian EDBBusiness Partner ASA (EDBASA), which is a subsidiary of Telenor ASA.

The acquisition is part of Comptel’s long term growth strategy tobecome the world’s leader in two selected business areas forcommunication providers: 1) Convergent Mediation and Charging and 2)Service Delivery Automation. Acquisition provides Comptel a widerplatform for long-term growth.

In the coming years Comptel expects to receive sales synergies whencombining Network Inventory product with its current Provisioningoffering, and utilizing Comptel's extensive global sales and customerservice organisation to sell Network Inventory. Comptel also gainsaccess to increasing number of Mediation customers. In additionComptel expects to achieve some cost synergies in global sales,customer services, product development and administration.

Description of acquired businessesAll assets related to EDB Telecom's Network Inventory and EuropeanMediation businesses will be transferred to Comptel. The acquisitionprice paid by Comptel is NOK 140 million in cash (EUR 18 million).Comptel intends to use it cash reserves to finance the acquisition.The completion of the acquisition is expected to take place on October3, 2005. The acquisition excludes EDB Telecom's Telesciences mediationbusiness in North America. Telesciences will provide a licence for theEuropean Mediation intellectual property rights to Comptel.

All the 162 current employees of EDB Telecom's Network Inventory andEuropean Mediation Businesses will be transferred to Comptel asexisting employees. EDB Telecom has offices in Norway (Oslo, Bergen,Bodø and Lillehammer) and sales offices in London and Singapore. TheCEO of EDB Telecom, Ms. Arnhild Schia, will be appointed ExecutiveVice President responsible for the new Inventory Business Division ofComptel. She will become member of Comptel’s Executive Board.
