All-stock transaction is expected to close in the third quarter of this year

SAN JOSE, Calif. -- Centerpoint Broadband Technologies, Inc., dedicated to delivering bandwidth efficient technology that maximizes performance of optical transport networks, today announced that it has agreed to acquire Zaffire, Inc., a leading provider of Dense Wave Division Multiplexing (DWDM) optical networking systems for metropolitan and regional networks. The acquisition will provide Centerpoint with Zaffire's flagship Z3000(TM) product line, along with strong engineering talent and a synergistic customer and product roadmap. Centerpoint's expanded product line will combine the high bandwidth efficiencies of its Subcarrier Multiplexing (SCM)-powered LENS (TM) 1220 system with the Z3000's intelligent and flexible DWDM optical transport system, resulting in an integrated platform that delivers and efficiently manages unparalleled multi-service capacity. Under the terms of the agreement, Centerpoint will acquire Zaffire in an all-stock transaction that is expected to close in the third quarter of this year. Goldman Sachs served as financial advisor to Centerpoint on this transaction.
