Vytek Wireless and Stellcom announce merger, expected to close in January 2003, to create a new company, called Vytek

WHITE PLAINS, N.Y. -- Vytek Wireless, Inc. a global provider of integrated mobile solutions for business and government, and Stellcom, Inc., a systems integrator recognized for its advanced expertise in mobility and enterprise engineering solutions, today announced an agreement to merge. The new company, to be known as Vytek, will capitalize on complementary areas of expertise to deliver a broader and deeper range of emerging enterprise solutions currently not offered by any company. The merger is expected to close in January 2003, subject to satisfaction of customary closing conditions. "Today's announcement marks the first instance in which a company will bring such a broad range of mobile enterprise capabilities into a single organization," said James Ousley, chief executive officer and president of Vytek Wireless. "By joining the strengths of Vytek Wireless and Stellcom we are creating the perfect marriage. Vytek's proven experience in delivering mobile applications, carrier infrastructure and wireless integration services combined with Stellcom's expertise in driving innovation is a formula for success over the coming months and years." The new company's immediate focus includes intensifying efforts in the following areas:

  • expanding supply chain, field service and inventory management programs to drive the development of "self-service" portals that empower employees and customers;

  • further strengthening the industry-leading position of Vytek's TelAlert urgent messaging solution currently used by more than half of Fortune 1000 companies;

  • weaving Vytek's infrastructure products and mobility platforms with Stellcom's advanced software application integration and user interface know-how to enhance the customer experience;

  • researching and designing hardware and software products and services to expand real-time data transfer and next generation wireless network offerings, including 802.11b/a, Bluetooth, WAN, WLAN;

  • designing emerging content-on-demand platforms, applications and hardware-based systems including set-top boxes, multimedia-gateway routers and other devices for home and business; and

  • developing next generation platforms for vertically-focused applications such as emergency dispatch systems for public safety, patient-management systems and medical devices for health care, and mobile point-of-sale for retail.
