MetroBridge to acquire Utah Broadband of Salt Lake City

VANCOUVER -- MetroBridge Networks International Inc.(TSX-V: MEB) is pleased to announce that it has signed a Letter of Intent to acquire Utah Broadband, LLC, a Salt Lake City-based company with operations in six counties including the Salt Lake City, Provo, and Park City metropolitan areas for US$5.4 million. Utah Broadband has approximately 3,000 customers with an Average Revenue per User (ARPU) of approximatelyUS$55 per month. The company is a profitable operation with annual revenues exceeding US$2.2 million.
The US$5.4 million purchase price for Utah Broadband consists of US$4 million in cash, and US$1.4 million in MetroBridge shares based on the thirty day average closing price. The shares issued will be escrowed for a maximum of 15 months. The transaction is expected to close early in 2008 and is subject to customary closing conditions including the completion of due diligence by MetroBridge, receipt of all necessary regulatory approvals and the negotiation and execution of a definitive agreement.
